You agree to comply with all applicable laws, regulations, and legal requirements when using our services, including but not limited to:

• Export control laws and economic sanctions regulations
• Anti-money laundering and counter-terrorism financing requirements

• Professional conduct standards if you are a regulated professional

2. Conduct Requirements

4. Content Guidelines

5. Age Restrictions

Our services are intended for individuals who are at least 18 years of age or the age of majority in their jurisdiction, whichever is greater. If you are accessing our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERITY LENS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from your access to, use of, or inability to access or use our services
• Unauthorized access to or alteration of your transmissions or data
• Statements or conduct of any third party on our services
• Any other matter relating to our services

Our total liability to you for all claims arising from or related to our services shall not exceed the greater of:

• The amount you paid us, if any, for the services in the twelve months preceding the claim, or
• One hundred US Dollars ($100 USD)

9. Exclusion of Consequential Damages

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law. The limitations and exclusions in these terms do not affect your statutory rights that cannot be waived or limited by contract.

10. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, labor disputes, governmental actions, failure of third-party services, or technical failures. In such events, our performance obligations will be suspended for the duration of the force majeure event.

11. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising from or related to these terms or our services shall be brought exclusively in the courts of Singapore. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

12. Dispute Resolution Procedures

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute through the following process:

1. Notify us in writing of the specific nature of the dispute, including all relevant facts and desired resolution
2. Engage in good faith negotiations for a period of at least 30 days
3. If negotiations fail, consider mediation before pursuing litigation or arbitration

This informal dispute resolution requirement does not apply to claims seeking injunctive relief or intellectual property claims.

13. Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

14. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and Terms of Service, constitute the entire agreement between you and Verity Lens regarding the use of our services and supersede all prior agreements, understandings, and communications, whether written or oral.

15. Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these terms will be effective only if in writing and signed by an authorized representative of Verity Lens.

16. Assignment

You may not assign or transfer these Terms and Conditions or any rights granted hereunder without our prior written consent. We may assign these terms at any time without notice to you. Any attempt by you to assign these terms without consent shall be void.

17. Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this document
• Provide notice on our website or via email if you have provided contact information
• Provide at least 30 days' notice for changes that materially reduce your rights

Your continued use of our services after modifications take effect constitutes acceptance of the revised terms. If you do not agree to the modifications, you must discontinue use of our services.

18. Survival

The following provisions shall survive termination of your use of our services: indemnification obligations, liability limitations, disclaimers, intellectual property provisions, governing law, dispute resolution, and any other provisions which by their nature should survive termination.
